Terms of Service

1. Engagement scope

These terms apply to all proposals, statements of work, retainers and managed services delivered by Uddan Promotions Pvt. Ltd. Each engagement includes a detailed scope, deliverables, timelines and commercial terms.

2. Client responsibilities

• Provide timely access to stakeholders, content, infrastructure and approvals.
• Ensure submitted content complies with applicable laws and intellectual property rights.
• Designate a single point of contact empowered to make decisions.

3. Fees & payment

Invoices are raised as per mutually agreed milestones or billing cycles. Payments are due within 15 days of invoice date unless specified otherwise. Delayed payments may attract interest at 1.5% per month.

4. Intellectual property

Upon full payment, ownership of bespoke deliverables transfers to the client, excluding third-party components and our pre-existing frameworks. Uddan Promotions retains the right to showcase anonymised work samples for portfolio purposes unless restricted by NDA.

5. Confidentiality

Both parties agree to protect confidential information and use it solely for the project. Non-disclosure agreements can be executed on request.

6. Warranties & support

We warrant that services will be delivered with reasonable skill and care. Launch warranties and SLAs are defined within each statement of work. Defects reported during warranty windows are resolved at no additional cost.

7. Liability

To the maximum extent permitted by law, aggregate liability for claims is limited to the fees paid for the specific statement of work giving rise to the claim. Neither party is liable for indirect or consequential losses.

8. Termination

Either party may terminate an engagement with 30 days written notice. Work completed up to the termination date will be invoiced. Immediate termination is permitted for material breach, insolvency or unlawful activity.

9. Acceptable use

Services may not be used for spam, malicious code distribution, hate speech, or any content violating local or international law. We reserve the right to suspend service for violations.

10. Governing law

These terms are governed by the laws of India and subject to the exclusive jurisdiction of the courts of Bikaner, Rajasthan.
